Senior Corporate Counsel – Strategic Partner Technology Transactions

This attorney will be primarily responsible for drafting and negotiating complex technology agreements with strategic partners for products and services that support the company’s corporate infrastructure and TSYS Issuer Solutions segment, as well as advising internal business clients and product stakeholders on operational, commercial, legal and regulatory issues related to technology, professional services, and outsourcing vendor agreements. The position is part of a collegial team of attorneys, reports to a Vice President and Senior Associate General Counsel, and provides regular interaction with the General Counsel and C-Suite executives. Position Description
- Draft, review, and negotiate a variety of complex technology contracts and related transaction documents with strategic partners for products and services that support the TSYS Issuer Solutions business.
- Advise business partners and stakeholders developing and managing new and existing technology infrastructure regarding legal and contractual rights, obligations, and interpretation of terms, including applicable regulatory requirements .
- Advise and support Company’s TSYS Issuer Solutions product teams and corporate functions, including finance, accounting, business technology services, and credit/risk teams.
- Handle other general corporate work as necessary
Minimum Requirements
At least 5 years relevant experience in legal practice at a high-quality law firm, in-house legal position or both; member in good standing of at least one state bar; law degree from a top-tier law school.
Required Skills
- Experience with structuring, drafting and negotiating moderate to complex technology transactions and/or product counseling
- Knowledge of laws and regulations generally applicable to payment or financial services providers
- Knowledge of and experience with privacy and/or data protection regulations
- Experience advising corporate clients
- Flexibility and willingness to work on a broad variety of legal matters
- Excellent oral and written communication skills
Desired Skills
- Experience in the payments industry or financial services industry
- Experience with information security standards and data privacy regulations
- Experience with intellectual property counseling, including trademark and patent portfolio management
